Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and SharePNL ("we," "our," or "us") governing your access to and use of the SharePNL platform, including our website, services, and features (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

Description of Service

SharePNL is a platform that enables users to verify and share their trading performance statistics. Our Service provides:

• Integration with brokerage accounts through third-party providers
• Automated calculation of trading statistics (P&L, ROI, win rate, profit factor, max drawdown)
• Verified trading performance profiles
• Tools to share individual trades or complete trading statistics
• Analytics and performance tracking
• Public leaderboards and community features

Eligibility

To use SharePNL, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using the Service under applicable laws
• Provide accurate and complete registration information
• Maintain a valid Google account for authentication

By using the Service, you represent and warrant that you meet all eligibility requirements.

Account Registration and Security

Account Creation

To access certain features of the Service, you must create an account by authenticating with Google OAuth. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

Brokerage Connections

When you connect your brokerage account to SharePNL:

• You authorize us to access your trading data through our third-party provider (SnapTrade)
• You are responsible for maintaining valid brokerage credentials
• You understand that interruptions in brokerage connectivity may affect data accuracy
• You can disconnect your brokerage at any time through account settings

Acceptable Use Policy

You agree not to use the Service to:

• Violate any applicable laws, regulations, or third-party rights
• Manipulate, falsify, or misrepresent trading data or statistics
• Impersonate another person or entity
• Share false, misleading, or deceptive information
• Engage in fraudulent activities or market manipulation
• Provide investment advice or financial recommendations without proper licensing
• Harvest or collect data from other users without consent
• Transmit viruses, malware, or other harmful code
• Interfere with or disrupt the Service or servers
• Attempt to gain unauthorized access to any part of the Service
• Use automated tools to scrape or extract data
• Reverse engineer or attempt to discover source code
• Remove or modify any copyright, trademark, or proprietary notices

Content and Data

Your Content

You retain ownership of your trading data. By using SharePNL, you grant us a limited, non-exclusive, worldwide license to:

• Process and analyze your trading data to calculate statistics
• Display your statistics on your profile (subject to your privacy settings)
• Include your data in aggregated, anonymized analytics
• Use your public profile data in leaderboards and community features

Public Profiles

When you make your profile public:

• Your trading statistics become visible to anyone with your profile link
• Your profile may appear in public leaderboards
• You are responsible for any information you choose to share publicly
• You can change your profile to private at any time

Data Accuracy

While we strive to provide accurate statistics based on your brokerage data, we do not guarantee the accuracy, completeness, or timeliness of any data displayed on the Service. You are responsible for verifying the accuracy of your statistics before sharing them publicly.

Intellectual Property Rights

The Service and its original content, features, and functionality are owned by SharePNL and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Service or included software without our express written permission.

Disclaimers and Limitations

Not Financial Advice

Service "As Is"

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied, including but not limited to:

• Merchantability or fitness for a particular purpose
• Non-infringement of intellectual property
• Accuracy, reliability, or completeness of content
• Uninterrupted, secure, or error-free operation
• Freedom from viruses or harmful components

Third-Party Services

Our Service integrates with third-party providers (Google, SnapTrade, brokerage firms). We are not responsible for:

• The availability, accuracy, or reliability of third-party services
• Changes to third-party APIs or terms of service
• Data breaches or security issues with third-party providers
• Interruptions in brokerage connectivity

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHAREPNL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your content
• Trading decisions made based on statistics displayed on the Service
• Errors, inaccuracies, or omissions in displayed data

IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Indemnification

You agree to indemnify, defend, and hold harmless SharePNL, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

• Your access to or use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Any content you post or share on the Service
• Your trading activities or decisions

Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:

• Violation of these Terms
• Fraudulent, abusive, or illegal activity
• At your request
• Prolonged inactivity

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may do so through your account settings or by contacting us.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which SharePNL operates, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Service shall first be resolved through good-faith negotiations. If negotiations fail, disputes shall be resolved through binding arbitration in accordance with the rules of the applicable arbitration association.

Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.

Your continued use of the Service after any changes to these Terms constitutes acceptance of those changes. If you do not agree to the new terms, you must stop using the Service.

Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and SharePNL regarding the Service and supersede all prior agreements and understandings, whether written or oral.
